LOGICOMPARTNERS TERMS OF USE These terms of use (hereinafter referred to as “Terms of Use”) set out the terms and conditions under which LOGICOM provides LOGICOMPARTNERS for use. The services offered in LOGICOMPARTNERS are aimed at business customers. 1. DEFINITIONS 1.1. “LOGICOM” shall mean the Logicom legal entity with which the reseller transacts business and from which receives invoices. 1.2. “LOGICOMPARTNERS” shall mean LOGICOM’s ecommerce platform for Resellers at www.logicompartners.com 1.3. “LOGICOMPARTNERS Administrator” shall mean an employee of LOGICOM who will be responsible for account administration, such as first registration, creating Personal Login Data. 1.4. “Personal Login Data” shall mean a personal user identification (ID) and a password of the Reseller User. 1.5. “Products” shall mean any product and/or other services offered in LOGICOMPARTNERS. 1.6. “Reseller” shall mean the undertaking which is granted access to LOGICOMPARTNERS for the purpose of ordering Products and services for re-distribution to end customers. 1.7. “Reseller Admin User” shall mean an individual designated by Reseller who will act as an administrator of the Reseller’s account. 1.8. “Reseller User” refers to an individual, appointed by the Reseller Admin User, who is entitled to use LOGICOMPARTNERS according to these LOGICOMPARTNERS Terms of Use and within the access rights provided by the Reseller Admin User or the LOGICOMPARTNERS Administrator, after receiving instructions from the Reseller Admin User. 1.9. “Reseller Parties” means all or any of the Reseller, a Reseller User or the Reseller Admin User. 2. APPLICABLE TERMS AND CONDITIONS 2.1. Any use of LOGICOMPARTNERS is subject to these Terms of Use. Upon Reseller Admin User’s login, the Reseller Admin User accepts these Terms of Use in their current version as basis for the use of LOGICOMPARTNERS. If the Reseller Admin User does not accept these Terms of Use, the Reseller Parties will not be granted access to use LOGICOMPARTNERS. The Reseller Admin User must read, agree and accept these Terms of Use before the Reseller Parties use LOGICOMPARTNERS. 2.2. The Reseller will be responsible for the acts or omissions of the Reseller Users or Reseller Admin User appointed or designated by the Reseller. Any breach of the provisions of these LOGICOMPARTNERS Terms of Use imposing any obligations upon or granting any rights to the Reseller Users or Reseller Admin User shall constitute a breach by the Reseller of these Terms of Use. 2.3. LOGICOM shall be entitled to amend or supplement these LOGICOMPARTNERS Terms of Use at any time. The Reseller shall be notified of these amendments or additions in writing, by E-mail, through LOGICOMPARTNERS or in any other appropriate form. 3. REGISTRATION, PASSWORD, PROTECTED ACCESS 3.1. In the interest of reliability, safety and security and with a view to the legal implications of the orders initiated via LOGICOMPARTNERS, only registered Reseller Parties may access LOGICOMPARTNERS. Any personal information that you provide will be held and used by us in accordance with LOGICOM’s PRIVACY POLICY found at https://www.logicom.net/privacy-policy/. Reseller warrant that the information provided during the registration process (and any notification of change of such information) is true and correct. The Reseller is obliged to take all necessary measures to ensure that Reseller Parties do not impersonate any person or use a name that the Reseller is not legally authorised to use. The Reseller is obliged to notify LOGICOM of any changes to each registration information immediately. LOGICOM reserves the right to reject any registration and to refuse access to LOGICOMPARTNERS to anyone for any reason, in its sole and absolute discretion. If the Reseller provides false or incorrect registration information or does not notify LOGICOM of changes to their registration information immediately, LOGICOM reserves the right to terminate the RESELLER account immediately and without notice or any liability of whatever nature. 3.2. The use of LOGICOMPARTNERS requires that each Reseller Admin User and Reseller User will be provided with Personal Login Data. The Reseller and its Reseller Admin User are obliged to set up a separate Personal Login Data for each potential Reseller User in its company. 3.3. It is within the Reseller Parties’ sole responsibility to keep the Personal Login Data in confidence and avoid any misconduct with regards to the use of the Personal Login Data. Personal Login Data must not be disclosed to any third party. The Reseller Parties are responsible for any use of or action taken under the Reseller User’s Personal Login Data in connection with the LOGICOMPARTNERS. LOGICOM shall not be liable for any damages resulting from any abuse of any Personal Login Data. 3.4. In case the Reseller User should discover that his Personal Login Data has unintentionally been made accessible to any unauthorized and/or third party or that there might exist any danger of misuse, Reseller User shall immediately inform Reseller Admin User or LOGICOMPARTNERS Administrator at eteam@logicom.net. Reseller Admin User or LOGICOMPARTNERS Administrator (as the case may be) shall then take measures to block the respective Personal Login Data and inform each other accordingly. Upon an application of the Reseller or a new registration and after a danger of misuse is averted LOGICOM will unblock the Personal Login Data. 3.5. LOGICOM reserves the right to lock a user ID, if an incorrect password has been entered several times. However, LOGICOMPARTNERS Administrator will be able to unlock this user ID and LOGICOM assign a new password. 3.6. If the Reseller User has forgotten his password, he may receive a new one from the Reseller Admin User or from LOGICOMPARTNERS Administrator. 3.7. The Reseller and its Reseller Users, shall not use unsecure passwords, such as “Password”, “Test” or “1234” etc. LOGICOM reserves rights to set and enforce password minimum requirements. LOGICOM reserves the right to check the security of the passwords and to object to certain passwords if the required standards are not met. 4. USE OF LOGICOMPARTNERS 4.1. In order to log in to LOGICOMPARTNERS the Reseller Parties will have to enter his Personal Login Data. Depending on the user rights of the respective account the Reseller User will then be able to use different available functions. 4.2. Reseller Parties may use the information and documents offered in LOGICOMPARTNERS only for the purposes for which the information and documents were provided. Any other use of the information and/or documentations, especially any type of replication, alteration, or integration in any publishing or advertisement of any kind is only permitted with prior, explicit and written consent of LOGICOM or the particular owner of the information. The information can be subject to various intellectual property rights and these property rights shall remain unaffected. 4.3. Reseller Users and Reseller Admin User shall not remove or alter the legends or notes referring to the existing copyrights or intellectual property rights such patents, trademarks etc. and will respect them. 4.4. LOGICOM is not responsible for any errors in features, photos and product prices listed in LOGICOMPARTNERS and cannot guarantee that there will be no errors for any reason when entering and/or updating the features and/or prices of a product. The product images shown are for illustration purposes only and may not be an exact representation of the product. Logicom reserves the right to change product images and specifications at any time without notice. 4.5. Reseller Admin User and Reseller User (upon approval within LOGICOMPARTNERS by the Reseller Admin User) may: (a) Place orders for products or services available on LOGICOMPARTNERS at the prices shown on LOGICOMPARTNERS. (b) View the Reseller order history and shipping status of the orders submitted through LOGICOMPARTNERS or any other way Logicom accepts and process orders. (c) View the Reseller invoicing and payments history and download the Reseller statement of account. 4.6. At the final stage and before submitting an order the Reseller Admin User or the Reseller User will be able to review the order details, order prices, select the delivery option and delivery address (as approved by the Reseller). 4.7. When an order is submitted, the Reseller Parties will receive an automated Order confirmation at the designated email address provided using LOGICOMPARTNERS for the Reseller account. 4.8. Where an order is submitted electronically through LOGICOMPARTNERS, the Reseller acknowledges and agrees: (i) to the electronic submission of the order, and the acceptance of these terms and conditions, by electronic means; and (ii) to the receipt of any documents related to the order or these terms and conditions by any electronic means, whether established and maintained by Logicom or another third party designated by Logicom; and (iii) not to contest the validity and/or enforceability of the order and/or these terms and conditions solely because each was concluded electronically; (iv) to be bound by the order and these terms and conditions as if the Reseller had manually signed on same; (v) to be bound by the LOGICOM general terms and conditions available at https://distribution.logicom.net/general-terms-and-conditions/, to the exclusion of the Reseller’s own Terms and Conditions or to any other Terms and Conditions or agreements, if any, signed by the parties in the past; and (vi) in case of a conflict between (a) any other Terms and Conditions and (b) these Terms of Use and the Logicom terms and conditions available at https://distribution.logicom.net/general-terms-and-conditions/, the latter – in other words (b) – will always prevail over the former – in other words (a). 4.9. The credit card information supplied at the time of using the service is processed by the payment gateway of the service provider and is not supplied to LOGICOM. It is the sole responsibility of the Reseller User of the service to ensure that the information entered in the relevant fields are correct. It is recommended that you take and retain a copy of the transaction for record keeping purposes, which might assist in resolution of any disputes that may arise out or usage of the service. 4.10. The Reseller User agrees, understands and confirms that his/ her personal data including without limitation details relating to debit card/ credit card/net banking transmitted over the Internet may be susceptible to misuse, hacking, theft and/ or fraud and that LOGICOM or the Payment Service Provider(s) have no control over such matters. 4.11. The Reseller User agrees that the debit/credit card details provided by him/ her for use of the aforesaid Service(s) must be correct and accurate and that the Reseller User shall not use a Debit/ credit card, that is not lawfully owned by him/ her or the use of which is not authorized by the lawful owner thereof. The Reseller User further agrees and undertakes to Provide correct and valid debit/credit card details. 5. BLOCKING OF ACCOUNTS, TERMINATION OF USE LOGICOM shall be entitled upon notice, at any time and without having to provide specific reasons, to block the Reseller Parties’ right to access the password-protected area of LOGICOMPARTNERS by blocking his Personal Login Data, especially in cases including but not limited to Reseller Parties : (i) providing false data for the purpose of registering or ordering, (ii) violating these LOGICOMPARTNERS Terms of Use or neglecting general duties of care with regard to data, (iii) violating applicable laws, (iv) delaying payments. If considered necessary for safety reasons by LOGICOM, e.g. to protect the system’s integrity or avoid damage, LOGICOM shall be entitled to block Reseller Parties, account or access to the system at any time. 6. HYPERLINKS LOGICOMPARTNERS may contain hyperlinks to web pages of third parties. LOGICOM shall have no liability for the contents of such web pages and does not make representations about or endorse such web pages or their contents as its own. LOGICOM does not control the information on such web pages and is not responsible for the contents and information given thereon. Neither shall LOGICOM be liable for the quality, correctness, nor completeness of any third party information expressly provided in LOGICOMPARTNERS as third Party information. 7. COMPUTER VIRUSES, MALWARE Although LOGICOM endeavors to keep LOGICOMPARTNERS free from viruses and other malware that might affect LOGICOMPARTNERS. LOGICOM disclaims any warranty and/or guarantee that LOGICOMPARTNERS is virus-free. The Reseller shall, for its own protection, take the necessary steps to ensure appropriate security measures and shall utilize a security antivirus software before downloading any information, software or documentation. 8. COMPLIANCE – PERSONAL DATA PROCESSING 8.1. Where LOGICOM collects personal information about Reseller Parties that are identifiable individual persons e.g. during the registration the LOGICOM PRIVACY POLICY found at https://www.logicom.net/privacy-policy/ sets out how LOGICOM will collect, store, use and secure such personal information for the purpose of enabling the use of LOGICOMPARTNERS according to applicable law. 8.2. Reseller will be solely responsible for ensuring that their Reseller Users are sufficiently informed about the purpose of the above mentioned use of the personal data and will obtain their consent to the processing etc. of such data by LOGICOM, in its capacity as a data controller and as described in the LOGICOM PRIVACY POLICY found at https://www.logicom.net/privacy-policy/. Reseller will be and remain solely responsible for the appropriate collection of the personal data of its Reseller Users in line with these Terms of Use and applicable law, for the appropriate use thereafter from the Reseller in accordance with these Terms of Use. Reseller will fully compensate LOGICOM in case that any damage is caused to LOGICOM as a result of the acts or omissions of the Reseller in relation with the personal data. 8.3. Reseller acknowledges and agrees that LOGICOMPARTNERS and the Products offered may be distributed and used only for purposes that are permitted by applicable laws, regulations or generally accepted practices or guidelines in the relevant jurisdictions. All Reseller Parties are exclusively responsible for compliance with all applicable local laws. Any access to the information, software and/or documentation provided in LOGICOMPARTNERS from countries, where such content is unlawful is expressly prohibited, as well as exporting or allowing access to any person in such countries or related to such countries. All local export prohibition rules must be observed and where necessary no transaction will take place without a required government approval. Resellers are obliged to also take all necessary steps to ensure that the Resellers Users and Reseller Admin User shall observe all anti-corruption legislation in any country where the Reseller or the Reseller User and Reseller Admin User is active. The Reseller must also observe the Logicom Code of Conduct which can be found at https://www.logicom.net/our-commitment/ethics/. Failure of the Reseller to observe all the above constitutes a breach of these Terms of Use and LOGICOM can immediately, without previous notice, prohibit any access to the LOGICOMPARTNERS, reserving also all rights to demand compensation for any damage that LOGICOM may suffer. The Reseller Parties are obliged without delay to provide LOGICOM with all information requested by Logicom to ensure that the above are observed. 8.4. You, as the Reseller, irrevocably agree that you shall not use, export, re-export, import, sell or transfer the Products, except as authorized by and according to the laws of the jurisdiction in which you obtained the Products and any other applicable laws and regulations. You represent and warrant that, where applicable, (i) the end user is not located in a country that is subject to a U.S. Government and / or European Union and / or United Nations embargo, or that has been designated by the U.S. Government and / or European Union and / or United Nations as a restricted entity and / or individual; and (ii) where applicable, the end user is not listed on any U.S. Government and / or European Union and / or United Nations list of prohibited and / or restricted parties. You also acknowledge that the Products’ end usage may be subject to other U.S. and foreign laws and regulations governing the export of such Productts by physical and electronic means. You and where applicable, the end user agree to comply with all applicable U.S. and foreign laws that apply to the provision of the Products as well as end-user, end-use, and destination restrictions imposed by U.S. and/or foreign governments. You also agree that you will not provide the Products for any end usage purposes prohibited by the U.S. Government and / or European Union and / or United Nations Laws, including, without limitation, the development, design, manufacture or production of nuclear missiles, or chemical or biological weapons. 9. INTELLECTUAL PROPERTY ALL COPYRIGHT, DATA, TEXT, SOFTWARE, IMAGES, GRAPHICS, TRADEMARKS, LOGOS, INTERFACES, PHOTOGRAPHS, and other intellectual property (“IP Content”) on LOGICOMPARTNERS is owned, controlled, by, or licensed to LOGICOM. LOGICOM, TOGETHER WITH OUR LICENSORS EXPRESSLY RESERVE ALL INTELLECTUAL PROPERTY RIGHTS IN ALL IP CONTENT WHICH APPEARS ON LOGICOMPARTNERS. ACCESS TO LOGICOMPARTNERS DOES NOT CONFER AND SHALL NOT BE CONSIDERED AS CONFERRING UPON ANYONE ANY LICENSE UNDER ANY OF OUR OR ANY THIRD PARTY'S INTELLECTUAL PROPERTY RIGHTS. ANY USE OF LOGICOMPARTNERS OR ITS CONTENTS, INCLUDING COPYING OR STORING IT OR THEM IN WHOLE OR PARTIS PROHIBITED WITHOUT THE PERMISSION OF LOGICOM. 10. LIMITATION OF LIABILITY To the extent permitted by law, in no event shall LOGICOM (including its affiliates, and each of its respective officers, directors, employees, agents and shareholders) be liable to the Reseller Parties for any incidental, special, punitive, consequential, or indirect damages (including, but not limited to), damages for deletion, corruption, loss of data, loss of programs, failure to store any information or other content maintained or transmitted by LOGICOMPARTNERS, service interruptions, or for the cost of procurement of substitute services arising out of or in connection with LOGICOMPARTNERS, or these terms of use, however arising including negligence, even if Logicom or our agents or representatives know or have been advised of the possibility of such damages. 11. INDEMNIFICATION The Reseller agrees to defend, indemnify and hold harmless LOGICOM and its affiliates with their respective shareholders, officers, directors, employees, agents (each, an "Indemnified Party") from and against any losses, claims, actions, costs, damages, penalties, fines and expenses, including without limitation attorneys' and experts’ fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to or resulting from your unauthorized use of LOGICOMPARTNERS or from any breach by the Reseller Parties of these Terms of Use, including without limitation any actual or alleged violation of any law, rule or regulation or arising out of the Reseller Parties’ wilful misconduct or gross negligence. 12. ELECTRONIC COMMUNICATIONS When the Reseller Parties use LOGICOMPARTNERS or send emails to LOGICOM, the Reseller Parties are communicating with us electronically. The Reseller consents and will procure that all Reseller Parties consent to receive electronically any communications related to the Reseller Parties use of LOGICOMPARTNERS. LOGICOM will communicate with Reseller Parties by email or by posting notices on LOGICOMPARTNERS. The Reseller agrees that all agreements, notices, disclosures and other communications that are provided to Reseller Parties electronically satisfy any applicable legal requirement that such communications be in writing or signed. All notices from LOGICOM intended for receipt by Reseller Parties shall be deemed delivered and effective when sent to the email address provided using LOGICOMPARTNERS for the Reseller account. 13. NO WAIVER LOGICOM’s failure to monitor or enforce a provision of these Terms of Use does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or these Terms of User as a whole. 14. ASSIGNMENT The Reseller may not assign any of its rights, licenses, or obligations under these Terms of Use. Any such attempt at assignment by the Reseller shall be void. 15. GOVERNING LAW These Terms of Use are governed by the applicable laws of the country of domicile of LOGICOM. All disputes that may arise in relation to these Terms of Use and the performance thereof will be brought before the competent Courts of the country of domicile of LOGICOM. 16. ENTIRE AGREEMENT & SEVERABILITY These Terms of Use (including the Privacy Policy), subject to any amendments or, modifications made by LOGICOM from time to time, shall constitute the entire agreement between the Reseller and LOGICOM with respect to LOGICOMPARTNERS and any use of LOGICOMPARTNERS. If any provision of these Terms of Use is found to be invalid by a court or competent jurisdiction, that provision only will be limited to the minimum extent necessary and the remaining provisions will remain in full force and effect.
